Terms of Service

            Plain-English summary: Use Dwelco honestly, for lawful home management purposes. You own your data. We own the platform. Paid plans are billed as described. Either party can end the relationship. California law governs.
        

1. Acceptance of Terms

By accessing or using Dwelco ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service.

These Terms constitute a legally binding agreement between you and Agentic Flow Company, the operator of Dwelco ("we," "us," or "our"). Our contact is admin@dwelco.ai.

2. Description of Service

Dwelco is an AI-powered home inventory, maintenance scheduling, and warranty tracking platform accessible at dwelco.ai and app.dwelco.ai. The Service allows you to:

Document home appliances, fixtures, and systems using AI-assisted scanning
Track warranty expiration dates and maintenance schedules
Generate household inventory reports for insurance and personal use
Share home profiles with household members or property stakeholders

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where possible.

3. Eligibility

You must be at least 18 years old to use Dwelco. By using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into this agreement. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity to these Terms.

4. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

Provide accurate and complete registration information
Promptly update your information if it changes
Notify us immediately at admin@dwelco.ai of any unauthorized use of your account
Not share your login credentials with persons outside your household

We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for an extended period, with reasonable notice.

5. Subscription Plans & Billing

5.1 Starter Plan (Free)

The Starter plan is available at no charge, with no credit card required, and includes up to 5 tracked items with core features. We may change the features included in the free plan with 30 days' notice.

5.2 Pro Plan (Paid)

Pro plans are billed on a monthly or annual basis as selected at checkout:

Pro Monthly: $6.00 USD per month, billed monthly
Pro+ Annual: $60.00 USD per year ($5.00/month effective rate)

Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Prices are in USD and subject to applicable taxes.

5.3 Cancellation & Refunds

You may cancel your paid subscription at any time from your account settings. Upon cancellation:

You retain access to Pro features until the end of your current billing period
No partial refunds are issued for unused portions of a monthly subscription
Annual subscriptions cancelled within 14 days of the initial purchase may be eligible for a full refund at our discretion; contact admin@dwelco.ai

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

Use the Service to store, transmit, or display unlawful, harmful, or deceptive content
Attempt to gain unauthorized access to any part of the Service or its related systems
Use automated means (bots, scrapers, crawlers) to access the Service without our prior written consent
Reverse-engineer, decompile, or disassemble any part of the Service
Upload content that infringes any third party's intellectual property rights
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Use the Service in any manner that could disable, overburden, or impair the Service

7. Your Content & Data Ownership

You own your data. All home inventory data, photos, and records you upload or create in Dwelco remain your property. You grant Dwelco a limited, non-exclusive, royalty-free license to store, process, and display your content solely to provide the Service to you.

We do not claim ownership of your content. We do not use your specific home inventory data to train external AI models or sell it to third parties. See our Privacy Policy for full details.

You are responsible for ensuring you have the right to upload any content and that your use of the Service does not infringe any third party's rights.

8. Intellectual Property

The Dwelco platform, including its software, design, brand, AI models, and all associated content (excluding your user content) is owned by Agentic Flow Company and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

9. Third-Party Services

The Service may integrate with or link to third-party services (such as payment processors, cloud storage providers, and AI infrastructure). These third parties have their own terms and privacy policies. We are not responsible for the practices of any third-party service.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) any defects will be corrected; (c) AI-generated information (appliance identification, maintenance recommendations) is accurate, complete, or suitable for your specific situation. AI outputs should be verified with manufacturer documentation for critical decisions.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AGENTIC FLOW COMPANY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100 USD).

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Agentic Flow Company and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any third party's rights.

13. Termination

Either party may terminate this agreement at any time. You may close your account through account settings or by emailing admin@dwelco.ai. We may suspend or terminate your access immediately if you violate these Terms, without prior notice.

Upon termination, your right to use the Service ceases. We will handle your data as described in our Privacy Policy.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.

Before initiating formal legal proceedings, you agree to first contact us at admin@dwelco.ai and attempt to resolve the dispute informally for at least 30 days.

15. Changes to These Terms

We may revise these Terms from time to time. We will provide at least 14 days' notice of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

16. Miscellaneous

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Dwelco regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
